Vendor Partner Agreement

1. Role Definition

Pikachooz provides the AR technology infrastructure and backend system. The Vendor acts as a reseller/facilitator of these services to end customers. The Vendor is NOT a legal partner, franchise owner, or employee of Pikachooz unless explicitly stated in a separate written agreement.

2. Pricing Authority

Pikachooz reserves the sole right to modify the pricing structure for AR services at any time. Vendors must adhere to the official pricing communicated via the Studio dashboard. Any unauthorized undercutting or overcharging may result in account suspension.

3. Payment & Settlement

  • Vendors are responsible for collecting payments from their customers.
  • Pikachooz’s service fees will be deducted or invoiced as per the agreed settlement cycle (Weekly/Monthly).
  • Once an AR order is processed, no chargebacks or refunds are permitted for that specific order.

4. Content Responsibility

The Vendor is responsible for ensuring that content uploaded by their customers does not contain:

  • Copyrighted material (music, video clips) without permission.
  • Obscene, unlawful, defamatory, or harmful content.
  • Content violating Indian IT laws or community standards.

Pikachooz reserves the right to reject any order and disable any AR experience that violates these policies without refund.

5. Platform Misuse

Vendors shall not:

  • Share internal upload links publicly.
  • Use the system for non-approved commercial purposes.
  • Attempt to reverse engineer the platform or AR technology.
  • Create fake or test orders to manipulate system metrics.

6. Limitation of Liability

Pikachooz is not liable for indirect, incidental, special, or consequential damages arising from the Vendor's use or misuse of the platform, or from any service interruptions.

7. Data Protection

Customer data collected via the platform is for order processing purposes only. Vendors must not sell, rent, or misuse customer data for unrelated marketing without explicit consent.

8. Termination

Pikachooz reserves the right to suspend or terminate vendor accounts for violations of this agreement, with or without prior notice.

9. Jurisdiction

Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.
